Terms of Service

Please read these Terms carefully before using ProSuite. They explain your rights and responsibilities as a user of the platform.

1. Acceptance of Terms

    By accessing or using ProSuite (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

    These Terms apply to all users of ProSuite, including property operators (landlords, property managers, land sellers, and hospitality operators), tenants, buyers, and guests who interact with the Service through any channel including the web application and the Safi WhatsApp assistant.

    The Service is operated by Regginna Technology Services Limited, incorporated in Kenya ("we", "us", or "our").

2. Description of Service

    ProSuite is a property management platform that allows property operators to:

  • Manage properties, units, and tenants
  • Collect rent and track payments via M-Pesa and other methods
  • Issue invoices and manage arrears
  • Capture and manage property inquiries via WhatsApp (through the Safi AI assistant)
  • Manage land sales, hotel bookings, and short-stay accommodations
  • Generate financial and occupancy reports

    • We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

    To use ProSuite as a property operator, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your password and account credentials
  • Notify us immediately of any unauthorised access or security breach
  • Accept responsibility for all activity that occurs under your account

    • You must be at least 18 years old to create an account. Accounts registered on behalf of a business must be created by an authorised representative of that business.

    We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.

4. Acceptable Use

    You agree to use ProSuite only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service to transmit false, misleading, or fraudulent information
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Upload or share content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to gain unauthorised access to any part of the Service or its related systems
  • Use the Service to send unsolicited messages or spam
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service

    • We reserve the right to investigate and take appropriate action against any user who, in our sole discretion, violates these provisions.

5. Subscription and Payment

    ProSuite is offered on a subscription basis. Subscription fees are billed in advance on a monthly or annual basis depending on the plan you select.

  • All fees are stated in Kenyan Shillings (KES) unless otherwise specified
  • Payments are non-refundable except as required by applicable law
  • We reserve the right to change our pricing with at least 30 days' notice
  • Failure to pay subscription fees may result in suspension or termination of your account
  • A 14-day free trial is available to new accounts; no payment is required during the trial period

    • You are responsible for all charges incurred under your account, including charges resulting from unauthorised use.

6. Data and Privacy

    Your use of ProSuite is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

    You retain ownership of all data you input into ProSuite, including property information, tenant records, and financial data. We process this data solely to provide the Service to you.

    We implement appropriate technical and organisational measures to protect your data, but we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials.

7. Intellectual Property

    ProSuite and all of its original content, features, and functionality — including but not limited to the software, design, logos, text, graphics, and the Safi AI assistant — are owned by Regginna Technology Services Limited and are protected by applicable intellectual property laws.

    You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes. This licence does not include the right to:

  • Resell or commercially exploit any part of the Service
  • Copy or adapt the Service's source code
  • Use any data mining, robots, or similar data gathering tools on the Service

8. Limitation of Liability

    To the maximum extent permitted by applicable law, Regginna Technology Services Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:

  • Your use of or inability to use the Service
  • Any unauthorised access to or alteration of your data
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or other harmful code transmitted through the Service

    • Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to us in the three months preceding the claim.

9. Termination

    You may cancel your account at any time by contacting us at info@pro-suite.co. Upon cancellation, your access to the Service will continue until the end of your current billing period.

    We may suspend or terminate your account immediately if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately.

    Following termination, we will retain your data for a period of 30 days, after which it may be permanently deleted. You are responsible for exporting any data you wish to retain prior to termination.

10. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

    Any dispute arising from or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Kenya.

    If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

11. Changes to These Terms

    We reserve the right to update these Terms at any time. When we make material changes, we will notify you by email or by posting a notice on the Service at least 14 days before the changes take effect.

    Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
